Terms of Service

These Terms of Service ("Terms") govern your use of indianaregisteredagent.co (the "Site") and the registered agent services ("Services") offered by Indiana Registered Agent.co ("we," "us," "our"). Accessing the Site or using Services constitutes agreement to these Terms.

1. Services Defined

Indiana Registered Agent.co provides:

• A physical registered agent address in Indiana for your business entity filings
• Acceptance of service of process, legal documents, and state correspondence during business hours
• Same-day scanning and electronic forwarding of all received documents
• Compliance reminders for Indiana biennial business entity report deadlines
• Secure online portal for document storage and retrieval

2. Eligibility Requirements

You must be at least 18 years of age and authorized to act on behalf of the business entity being registered. You agree to provide truthful, current information at enrollment and to maintain its accuracy thereafter.

3. Pricing and Payment Terms

• Annual service fee: $99
• Payment due at enrollment and upon each annual renewal
• Accepted payment methods are displayed on the Site
• Failed payments will prompt notification; Services may be suspended until payment is resolved
• Pricing adjustments require a minimum of 30 days' advance notice before your renewal date

4. Service Duration

Service commences on enrollment and continues for one year. Automatic renewal occurs at the then-current annual rate unless you cancel prior to your renewal date.

5. Client Obligations

You agree to:

• Maintain accurate entity information in our records at all times
• Communicate promptly any changes to entity name, contact details, or legal status
• Retrieve forwarded documents and take appropriate action within a reasonable timeframe
• Maintain your entity in good standing with the Indiana Secretary of State (filing biennial reports, paying applicable fees)
• Properly file your designation of us as registered agent with the state

6. Document Processing

• Documents are accepted during business hours (Monday through Friday, 9 AM to 5 PM ET, excluding Indiana state holidays)
• All received documents are scanned and forwarded electronically on the same business day
• We bear no responsibility for the content, interpretation, or legal consequences of documents received or forwarded
• Physical documents are retained for a limited period and then securely destroyed

7. Scope Limitations

Indiana Registered Agent.co is not a law firm, accounting practice, or licensed professional advisor. We do not provide legal advice, tax guidance, or business formation counsel. Our Services are strictly limited to registered agent functions. Engage licensed professionals for legal or tax matters.

8. Liability Limitations

To the maximum extent permitted by Indiana law:

• Our aggregate liability for claims arising from Services shall not exceed fees paid by you in the 12 months preceding the claim
• We disclaim liability for indirect, incidental, consequential, special, or punitive damages
• We are not liable for consequences of your failure to retrieve or act on forwarded documents
• We are not liable for delays attributable to circumstances beyond our reasonable control (natural disasters, postal disruptions, government actions)

9. Indemnification

You agree to defend, indemnify, and hold harmless Indiana Registered Agent.co, its owners, employees, and contractors from any claims, damages, losses, and expenses (including reasonable attorney fees) arising from your use of Services, violation of these Terms, or any third-party claim related to your business entity.

10. Cancellation

• Cancel at any time by emailing support@indianaregisteredagent.co
• Cancellation takes effect at the conclusion of your current paid term
• No refunds for unused portions of a term, except at our discretion
• Upon cancellation, you must designate a replacement registered agent with the Indiana Secretary of State

11. Suspension and Termination

We may suspend or terminate Services if:

• Payment remains outstanding following reasonable notice
• You provided materially inaccurate information
• Your use of Services violates applicable law
• Continued provision of Services would create legal exposure for us

12. Governing Law

These Terms are governed by the laws of the State of Indiana. Disputes shall be resolved in Indiana courts, and you consent to personal jurisdiction therein.

13. Amendments

We may revise these Terms periodically. Updated versions will be posted on this page with a new effective date. Continued use of the Site or Services following posting constitutes acceptance.

14. Severability

If any provision of these Terms is deemed unenforceable, the remaining provisions continue in full force and effect.

15. Entire Agreement

These Terms and our Privacy Policy constitute the complete agreement between you and Indiana Registered Agent.co with respect to the Services described herein.
